2. THE SERVICE / REGISTRATION / COMMUNICATIONS
Registration. You do not have to register, create a user account, or otherwise provide us with any information in order to visit the Site. However, if you wish to purchase or access certain Digital Content or otherwise access special features of the Site, including new features that may become available in the future, you will be required to register with us and create a user account (your “Account”), which will require that you provide us with certain contact (including a valid email address) information. 3. PURCHASING
Authorized Devices. Subscribers will need to activate each system (computer, phone, electronic device, etc.) they use to access the Service (once activated in accordance with this TOU, such system may be referred to as an “Authorized Device”). Once an Authorized Device is activated, it cannot be transferred or reset. Users agree that the service will only be used on, and the licenses to the Digital Content obtained herein is expressly limited to, a single activated Authorized Device at any given time.
Non-Commercial, Private Use. The Service allows access to view Digital Content, and the license granted herein to any Digital Content is limited to, a limited number of times over a limited period of time. As used herein, “Non-Commercial, Private Use” means a presentation of Digital Content for which no fee or consideration of any kind (other than that which you pay to us to access the Digital Content) is charged or received, which takes place in your private home or apartment or, if outside your private home or apartment (e.g., in a hotel room, dorm room, office, or airport waiting lounge) is limited to a private viewing for you alone. Non-Commercial, Private Use specifically excludes any public presentation (e.g., a presentation in a dorm lounge) and any presentation by a place of public accommodation or other commercial establishment (e.g., a bar or restaurant), even if no fee is charged for viewing or accessing the Digital Content.
Subscription License.
DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC grants you a non-exclusive, non-transferable, non-sublicensable, revocable, limited right and license to stream and to view and privately display, for Non-Commercial, Private Use, the Digital Content Rented by you, by way of no more than one (1) Authorized Device connected to the Service over the Internet. Unless otherwise designated on a Detail Page for Digital Content, this license for Digital Content is limited in its term and duration to 1, 3, 6, 12 months or automatic recurring subscription from the date of Subscription (the “Subscription Term”). After the applicable Subscription Term, you understand and agree that DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC may automatically delete your user account.

Risk of Loss. Once you subscribe to Digital Content and we make the Digital Content available to you, you bear responsibility for completing viewing during the stipulated Subscription Term. Digital Content will generally continue to be available to you for streaming from the Service, as applicable, but may become unavailable due to conditions or reasons beyond DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC’s control, in which case DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC will not be liable. Such conditions or reasons include, but are not limited to, Acts of God, power outages, system maintenance, programming errors, software issues, actions of third parties such as computer or software hackers, or others acting outside the law or in contradiction to this TOU. The risk of loss and title for all tangible items purchased through the Site passes to you upon delivery of the item to the carrier.
Prices. From time to time, we may make purchase of tangible items (such as physical text books) available on the Site. The price for an item on the Site may differ from the price shown in your shopping cart; this may occur because it is possible that such price may increase or decrease between the time the item is placed in a shopping cart and the time that the purchase is actually made. On rare occasions, an item may be priced incorrectly on the Site. Billing. By starting your DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC Subscription Account, you are expressly agreeing that we are authorized to charge you a membership fee at the then current rate plus any applicable tax for 1, 3, 6, 12 month subscription or any product with automatic recurring subscription, as well as any other charges you may incur in connection with your use of the Services, to the payment method you provided during registration (or to a different payment method if you change your account information). As used in this TOU, “billing” shall indicate either a charge or debit, as applicable, against your payment method. When your subscription to the Services expires, you will lose access to the features unique to Subscriptions Accounts unless you choose to purchase an additional subscription.
DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC will be able to automatically bill and charge you any renewal of a subscription or subscriptions to your credit card, debit card or bank account registered in our system
Payments are nonrefundable and THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. At any time, and for any reason, we may provide a refund, discount, bonus disc or other consideration to some or all of our members (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance. We may change the fees and charges in effect, or add new fees and charges from time to time without any notification.
Cancellation. You may cancel your DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC subscription at anytime, and cancellation will be effective immediately. DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC will not be liable for failing to perform under this TOU by the occurrence of any event beyond its reasonable control, including, without limitation, a labor disturbance, an Internet outage or interruption of service, a communications outage, failure by a service provider to DOCTOR EN USA AND Z&C BUSINESS FAMILY COMPANY LLC to perform, fire, terrorism, natural disaster or war.
15. DISPUTES
In light of DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC’s substantial contacts with the State of TEXAS, and your and our interests in ensuring that disputes regarding the interpretation, validity and enforceability of the TOU are resolved on a uniform basis, and DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC’s execution of, and the making of, the TOU in TEXAS, you agree that: (i) any claim, cause of action or dispute you have with DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC and any litigation involving any noncompliance with or breach of the TOU, or regarding the interpretation, validity and/or enforceability of the TOU, must be filed and exclusively conducted in the state or federal courts in US district court at El Paso TEXAS; and (ii) the Agreement shall be interpreted in accordance with and governed by the laws of the State of TEXAS, without regard for any conflict of law principles. You agree to submit to the personal jurisdiction of the state or federal courts in El Paso TEXAS, for these purposes. Any claim or dispute between you and Company that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in El Paso TEXAS, unless submitted to arbitration as set forth in the following paragraph. For any claim (excluding claims for violations of confidentiality, intellectual property, rights of publicity and privacy, or otherwise claims for injunctive or other equitable relief) under this TOU where the total amount of the award sought is less than $5,000, the party requesting relief may elect to resolve the dispute through binding non-appearance-based arbitration. The party electing such arbitration shall initiate the arbitration through an established alternative dispute resolution (“ADR”) provider mutually agreed upon by the parties. The ADR provider and the parties must comply with the following rules: (a) the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, as selected by the party initiating the arbitration; (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties; and (c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
16. LIMITATION ON ACTIONS
You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, relating to, or connected with your use of the Site or Services, must be filed within one calendar year after such claim or cause of action arises, or forever be barred.
17. CHANGES TO THE SITE OR SERVICE

18. TERMINATION

La compañía puede eliminar contenido que, a su sola discreción, parezca infringir los derechos de propiedad intelectual de terceros. Es nuestra política cerrar las cuentas de infractores reincidentes. 12. DECLARACIONES Y GARANTÍAS
Usted declara y garantiza a DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC que: (i) tiene el pleno poder y autoridad para aceptar y cumplir con sus obligaciones bajo estos TDU; (ii) su aceptación y cumplimiento de estos TDU no constituye un incumplimiento o conflicto con cualquier otro acuerdo por el cual usted esté obligado, o cualquier ley o regla aplicable; (iii) estos TDU constituyen obligaciones legales, válidas y vinculantes para usted, exigibles de acuerdo con sus términos; (iv) no infringirá la patente, derechos de autor, marca registrada, secreto comercial, derecho de publicidad u otro derecho de propiedad intelectual de terceros al usar el Sitio; y (v) cumplirá con todas las leyes y regulaciones aplicables.
13. INDEMNIZACIÓN
Usted acepta defender, indemnizar y mantener indemne a DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC y a sus empleados, representantes, agentes, abogados, afiliados, directores y miembros (“Partes Indemnizadas”) de cualquier daño, pérdida, costo o gasto (incluidos, entre otros, honorarios y costos de abogados) incurridos en relación con cualquier reclamo, demanda o acción de terceros (“Reclamo”) presentado contra cualquiera de las Partes Indemnizadas: (i) que alegue hechos o circunstancias que constituirían un incumplimiento de cualquier disposición de estos TDU por su parte, incluyendo violaciones de la ley o alegaciones de violación de la privacidad o derechos de propiedad intelectual relacionados con el contenido que usted envíe; (ii) que surja de, esté relacionado con, o esté conectado con su uso del Sitio o los Servicios; o (iii) el acceso y uso de los Servicios por parte de cualquier otra persona con su nombre de usuario, contraseña u otro código de seguridad.
14. DESCARGOS DE RESPONSABILIDAD, EXCLUSIONES Y LIMITACIONES
RENUNCIA DE GARANTÍAS: La compañía proporciona el sitio web, el contenido digital, el software y los servicios «tal cual» (AS IS) y «según disponibilidad». DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLCno garantiza que el sitio o los servicios: (I) sean ininterrumpidos o seguros; (II) estén libres de defectos, inexactitudes o errores; (III) cumplan con sus requisitos; o (IV) estén libres de virus u otros componentes dañinos. EXCLUSIÓN DE DAÑOS: En la medida máxima permitida por la ley, en ningún caso la compañía o sus afiliados serán responsables por daños indirectos, ejemplares, punitivos, especiales, incidentales o consecuentes de cualquier tipo (incluyendo pérdida de beneficios, pérdida de datos o interrupción del negocio) que surjan del uso o la imposibilidad de usar el sitio.LIMITACIÓN DE RESPONSABILIDAD: EN NINGÚN CASO LA RESPONSABILIDAD DE DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC EN RELACIÓN CON ESTOS TDU, EL SITIO WEB O LOS SERVICIOS EXCEDERÁ LA CANTIDAD DE $1,000.
15. DISPUTAS
Dada la relación sustancial de la compañía con el Estado de TEXAS, y el interés mutuo en asegurar que las disputas se resuelvan de manera uniforme, usted acepta que: (i) cualquier reclamo o disputa que tenga con DOCTOR EN USA® AND Z&C BUSINESS FAMILY COMPANY LLC y cualquier litigio relacionado con el incumplimiento o interpretación de estos TDU debe presentarse y llevarse a cabo exclusivamente en los tribunales estatales o federales del distrito de los EE. UU. en El Paso, TEXAS; y (ii) el Acuerdo se regirá por las leyes del Estado de TEXAS, sin considerar principios de conflicto de leyes. Para reclamos menores a $5,000, la parte que solicita el alivio puede elegir resolver la disputa a través de un arbitraje vinculante no presencial.
16. LIMITACIÓN DE ACCIONES
Usted reconoce y acepta que, independientemente de cualquier estatuto o ley en contrario, cualquier reclamo o causa de acción que pueda tener que surja de, esté relacionada con, o esté conectada con su uso del Sitio o de los Servicios, debe presentarse dentro de un año calendario después de que surja dicho reclamo o causa de acción, o de lo contrario prescribirá para siempre.

Este Sitio podría incluir inexactitudes o errores tipográficos.
18. TERMINACIÓN
DOCTOR EN USA® Y Z&C BUSINESS FAMILY COMPANY LLC tendrá el derecho, a su sola discreción, por cualquier motivo o sin motivo alguno, sin previo aviso ni responsabilidad hacia usted o cualquier tercero, de rescindir su acceso al Sitio o a los Servicios, con o sin causa. Dichos motivos pueden incluir, sin limitación: (i) su incumplimiento de cualquier parte de estos TDU, o (ii) su violación de los derechos de cualquier tercero.
19. NOTIFICACIONES Y COMUNICACIONES ELECTRÓNICAS
Excepto que se disponga específicamente lo contrario en estos TDU, todas las notificaciones requeridas o permitidas bajo estos TDU se realizarán por escrito y se entregarán a la otra parte por cualquiera de los siguientes métodos: (i) entrega en mano, (ii) correo certificado de EE. UU., con acuse de recibo, franqueo prepagado, (iii) mensajería nocturna (overnight courier), o (iv) correo electrónico. Si usted notifica a la compañía, debe usar la dirección que figura en el Sitio. Si la compañía le notifica a usted, utilizará la información de contacto proporcionada por usted. Cada parte acepta que cualquier notificación recibida electrónicamente satisface cualquier requisito legal de que dichas comunicaciones se realicen por escrito.
20. TÉRMINOS MISCELÁNEOS
El software disponible en este Sitio puede estar sujeto a las leyes de control de exportaciones de los Estados Unidos. Al descargar o usar cualquier software, usted declara que no se encuentra en ningún país ni en ninguna lista de personas restringidas por el Departamento del Tesoro o el Departamento de Comercio de los EE. UU.
Estos TDU contienen el entendimiento completo entre usted y DOCTOR EN USA® Y Z&C BUSINESS FAMILY COMPANY LLC con respecto al uso del Sitio y sustituyen todos los acuerdos previos. Estos TDU serán vinculantes para cada parte y sus sucesores. Usted no puede ceder ni transferir sus obligaciones sin el consentimiento previo por escrito de la compañía. Usted y DOCTOR EN USA® Y Z&C BUSINESS FAMILY COMPANY LLC son contratistas independientes, y estos TDU no crean ninguna relación de agencia, asociación, empresa conjunta (joint venture) o relación empleador-empleado. La invalidez de cualquier disposición de estos TDU no afectará la validez de las demás disposiciones, las cuales permanecerán en pleno vigor y efecto.
